GOOGLE WANTED TO BUY MICHAEL JACKSON’S $750M STAKE IN SONY/ATV

Google has made some very interesting investments into the music business over the past few years.

Take, for example, 300 Entertainment – the ‘content company’ founded by record biz veteran Lyor Cohen.

Google is believed to have put $5m seed money into the startup, which last year broke Fetty Wap – the US artist whose YouTube channel now has more than 850m views.

Then, in February last year, Google Ventures led a $60m funding round in Kobalt, the rights company which has stolen publishing market share from the majors.

These investments caused predictable controversy at 300 and Kobalt’s rivals – a situation exacerbated by recent disgruntlement over royalty payouts from Google-owned YouTube.

Yet both deals are small fry compared to what Google tried to do next… when the search giant went after one of the most powerful music companies in the world.

The biggest news from Midem this weekend didn’t come from a grand announcement or keynote interview, but within an anecdote from Joel Katz – the respected US music biz attorney and founding partner of Greenberg Traurig LLP.

Katz has applied his legal skills to some very high profile clients, including the rights of James Brown and Willie Nelson.

He was also – and this is the important bit – a key figure in the deal which saw the Michael Jackson Estate’s 50% ownership of Sony/ATV sold to Sony for $750m earlier this year.

Katz worked closely with Jackson Estate executor John Branca on that agreement, which seemed an exclusive negotiation: Sony last year triggered a buy-sell clause in its ATV contract with the Jackson Estate, leaving both parties permitted to buy out the other.

However, it transpires there was actually another interested player who wanted a seat at the bidding table.

Guess who?

Speaking on a panel in Cannes on Friday (June 3), Katz was asked to give his thoughts on YouTube and its current frosty reception at large music rights-holders.

“I think [YouTube boss] Robert Kyncl is a very smart fellow, and very policy-orientated,” he replied, before casually dropping his bombshell.

“We had discussions with [Google] in the selling of the Michael Jackson interest to Sony/ATV,” he revealed – before indicating that these ‘discussions’ were, on Google’s side, pretty full of intent.[/align]

Katz continued: “[It] would have been a very interesting proposition, with [Google] having a major interest in a major publishing company like that… then negotiating their licenses with the record companies and saying: ‘Hey, we don’t have to license you!’

“It would have been very, very dynamic and interesting.”

“Of course, it didn’t happen,” noted Katz.

“Sony didn’t let it happen.”

For many in the music business, the repercussions of Google being allowed to get near a 50% stake Sony/ATV would be deeply worrying.

Sony/ATV manages 4m music copyrights written by the likes of The Beatles, Taylor Swift, Michael Jackson, Ed Sheeran, James Brown, Elvis Presley, Lauryn Hill, Oasis and Eminem.

Remember that those 4m copyrights are spread through countless recordings and, therefore, master rights deals with labels. That would have been the first headache for the likes of Universal Music Group.

Google would also presumably wanted to have benefited its own music services, YouTube and Google Play, with favourable licensing rates across the Sony/ATV catalogue.

And then there’s the question of how Google would have allowed these rights to have been licensed elsewhere.

Spotify, for example, signed a new EU deal with Sony/ATV at the start of last year. What would Google have done when licensing agreements like this expired?

Another interesting line of thought here is about what Google’s desire for large-scale music rights might mean for the future. It’s a point Katz didn’t miss.

“The dynamic of who owns what is what’s so interesting to watch,” said the attorney, referring to the major labels. “You ask yourself: Who will ultimately be the owners of these businesses?”

His point: if Google’s willing to make a serious play to buy a chunk of Sony/ATV, what’s to stop it targeting, say, Vivendi and Sony Corp?

For now, both Universal Music Group – a central tenet of Vivendi’s cross-media strategy – and Sony Music Entertainment – one of Sony Corp’s best-performing segments – are considered gems at their respective global empires.

But Google may believe the old adage: everything’s for sale at the right price.

Elsewhere on the same panel, Glassnote founder Daniel Glass brought a moment of optimism over YouTube, when asked his thoughts on how the current fallout between the service and music rights-holders would play out.

“I think by the end of the summer we’ll see a settlement,” he suggested, before making clear this was his own guesswork and not informed by insider info.

“[YouTube] can’t be deaf to what’s going on,” added Glass – a reference to the growing number of artists, from Katy Perry to Debbie Harry and Elvis Costello, who’ve publicly challenged YouTube’s payments to artists.

“You have people negotiating behind the scenes right now. [YouTube] can’t pick up the newspaper or read blogs every single day and be criticized [and ignore it].”

He continued: “I think there’s a mini-revolution going on that’s building in the world of people who are upset about compensation.

“I predict by the end of the summer, it’s a gut feeling, we’ll see a new system or monetary compensation package [from YouTube] that people will be much happier with.”

Glass’s comments were rather kinder than those of another significant music biz rights-holder with whom MBW shared a telling conversation this weekend.

While observing the current uniformity of major labels on the issue of fighting YouTube, we wondered aloud if there was a cheque big enough, a promotional commitment tempting enough, for the likes of Universal, Sony or Warner to break ranks and sign a selfish YouTube deal.

“I can’t see it happening,” they replied.

“What you have to realise is that it isn’t just about business anymore – it’s about hate.

“There is a deep feeling of anger out there over the way everyone’s been treated by YouTube, and now the tide is turning and they’re finally getting their comeuppance.

“Nothing brings people together, and keeps them united, like hate.”

Other participants included Seymour Stein and Tommy Boy founder Tom Silverman – who gave a smart breakdown of per-capita spending on music, as well as expressing his concerns over reductions in A&R budgets.

J.J. Abrams Teams with Tavis Smiley for Michael Jackson TV Series

J.J. Abrams' is best known for his sci-fi and action work, but now he's delving into a new frontier: music biography.
Abrams' Bad Robot is teaming up with author Tavis Smiley to produce a series on the final months of Michael Jacksons' life. The event, being produced for Warner Bros. Television, is an adaptation of Before You Judge Me, Smiley's biography on the King of Pop, being released on June 21st.

According to Warner Bros. TV, the book "examines the soaring highs and deep lows faced by the late pop star -- his constant hunt for privacy in a life that was more public than almost any other, and the pressures he endured as someone whose fame made him socially fragile and almost unable to live."

Abrams, Smiley, Ben Stephenson and David Brewington will serve as executive producers for the event series, though no network has been announced for the show yet.
The project is the latest team up between Smiley and Bad Robot, as the two paired up in 2015 to adapt Smiley's book on Martin Luther King Jr., Death of a King: The Real Story of Dr. Martin Luther King, Jr.'s Final Year.

Guiding the deal that will earn $750 million for Michael Jackson’s heirs, John Branca leads the roster of 41 of the top legal minds in the music business.

A consultation with the music industry's top lawyer might run you only about $6 if you happen to be at the Beverly Glen Deli when John Branca gets there in the morning. Branca makes the seven-minute drive to the low-key eatery, just south of Mulholland Drive, from his home in Beverly Park, the gated Beverly Hills enclave where he has lived for the past 21 years, and where his neighbors include Sumner Redstone, Rod Stewart and Mark Wahlberg. "It's good to be the poorest guy in the neighborhood," he jokes.

The poorest guy in that neighborhood still drives to breakfast in a $300,000 Rolls-Royce Wraith, though if you're picking up his breakfast tab it won't run you much: $2.95 for the Cheerios Branca favors, and an additional $2.95 for some fresh blueberries.

"It's like my office," says Branca of the Beverly Glen Deli, where on any given day he'll see Brian Wilson or veteran manager Howard Kaufman. "I'm shocked they don't charge me rent."

Of course, if they did, he can afford it. Branca, a divorced father of three, has long combined rock'n'roll swagger -- as a teenager, he played in a Sunset Strip garage band that opened for The Doors -- with a dangerously sharp business acumen. The mid-March announcement that the Sony Corporation will acquire the Michael Jackson estate's 50 percent interest in Sony/ATV Music Publishing for $750 million caps a stunning revival for the estate, for which Branca has served as co-executor, along with John McClain, since Jackson's death in 2009. At that point, the estate carried debts of more than $500 million. When the Sony buyout gets expected final approval from European regulators later in 2016 or early in 2017, the estate will pay off some $250 million in debts and be left with more than $500 million cash on hand. That's a better than $1 billion turn around.

Among those assisting with the Sony buyout were Joel Katz of Greenberg Traurig -- co-counsel to the Jackson estate -- investment banker Dave Dunn at Shot Tower Capital, Howard Weitzman of Kinsella Weitzman Iser Kump & Aldisert, and Sony's corporate lawyer Wallace Christner at Venable.

"He knows how to close deals," says Sony/ATV chairman/CEO Martin Bandier of Branca. And "he's a real guy's guy. He loves sports. He loves music."

As the head of the music department at Ziffren Brittenham, Branca's clients include Simon Cowell, Barry Gibb, Rick Rubin, Enrique Iglesias and Santana, and he oversees a team that works with Beyoncé, Justin Timberlake, Blake Shelton and Selena Gomez, among others. "We're very involved as business and strategic advisers with our clients to help them maximize their income, establish a business plan and help grow it," says Branca.

It was Branca who encouraged Jackson to buy ATV Music in 1985, then a 4,000-song collection that controlled the rights to the Lennon-McCartney catalog, as well as songs by Bruce Springsteen, Elvis Presley, Little Richard and The Rolling Stones, among others. Paul McCartney could have taken ownership of his songs but deemed the price -- $47.5 million -- too steep. Jackson and Branca did not.

They were right. Jackson put up $15 million and borrowed the balance of $32.5 million. When Sony and ATV merged in 1995, Jackson received $110 million for his 50 percent stake in the new entity, more than doubling his initial investment. In constant dollars, that initial investment would be $106 million in 2016, making Sony's $750 million acquisition of Jackson's stake a seven-time return. And that's not counting the steady annual payouts that totaled nearly $400 million. "Our investment banker Shot Tower Capital analyzed Michael's return on the Sony/ATV investment," says Branca. "It averaged in excess of 30 percent per annum from inception in 1985 to sale."

When Sony triggered a buy-sell clause in the Sony/ATV contract in October 2015, it surprised both Branca and Bandier. "It was completely unexpected," says Branca, who felt "a little blindsided."

But finding possibilities in the unexpected is one of Branca's skills. "We had an opportunity to diversify the holdings of the Jackson estate that would ultimately be for the benefit of Michael's kids," he says.

The estate will maintain a strong position in the music publishing business, retaining Jackson's own copyrights in Mijac Music, as well as a 10 percent stake in EMI Music Publishing. "We can turn over a lot of cash to the beneficiaries and stay invested in the music business," says Branca. "I am pleased with the result."

And his fees? They'll pay for an extra serving of blueberries. (Joe Levy)

Michael Jackson Immortalized With “HISstory” Statue

A statue of Michael Jackson was recently instqlled and unveiled at Mandalay Bay Resort and Casino earlier this week.

The HIStory Statue was created by Diane Walczak in 1994 for Michael’s album HIStory: Past, Present and Future, Book I and used on the singer’s “HIStory” tour.

Check out the statue, which was loaned to Mandalay Bay from Michael Jackson’s estate.

Michael Jackson’s Family Sues Radar Online for $100 Million Over Sexual Abuse Reports

Nephews of deceased singer claim libel by online publication

Relatives of deceased pop-music legend Michael Jackson have filed a $100 million libel lawsuit against Radar Online, over Radar’s suggestion that the singer might have sexually abused his nephews.

The lawsuit, filed in Los Angeles Superior Court on Wednesday by Jackson’s nephews Taj, TJ and Taryll Jackson, accuses Radar Online of wrongfully reporting that Jackson “sexually abused young boys [and] implied that this included his ‘nephews,’ but added that his ‘family’ (which, of course, includes plaintiffs) resisted any inquiry into that criminal conduct.”

“Radar reported that Michael Jackson ‘bought them’ a ‘brand new car’ to ‘shut them up,'” the lawsuit reads, adding that Radar also reported that a relative, which readers would have understood to be one of the nephews, was “‘spirited off to an island’ to buy his silence, after which he refused to tell police anything ‘bad’ about Michael Jackson.”

The suit claims that Radar’s reporting is wholly untrue.

“Radar’s statements were entirely false and defamatory,” the complaint reads. “In fact, although plaintiffs are Michael Jackson’s ‘nephews,’ ‘relatives’ and ‘members of the family,’ none of them was ever sexually abused by Michael Jackson or ever had any sort of sexual contact with him.”

The lawsuit also takes issue with Radar’s report that the late King of Pop “even used sexy photos of his own nephews, who were in the band 3T, in their underwear to excite young boys.”

The suit goes on to state that the plaintiffs demanded a correction from Radar in July, but that Radar “refused to correct any of its libelous assertions about plaintiffs, thereby aggravating its wrongful conduct.”

A spokesperson for Radar Online has not yet responded to TheWrap’s request for comment.

“In publishing Radar’s libelous stories, Radar was aware that its defamatory assertions, which the public will understand to include and refer to plaintiffs, were, in fact, not true of plaintiffs or any of them,” the suit continues. “Radar’s conduct alleged hereinabove was fraudulent, oppressive and malicious, calling, in addition, for an award of exemplary damages in an amount sufficient to punish Radar and its owners and to deter them from publishing such vicious, false and defamatory ‘reports.'”

The suit seeks a judgment for “$100 million and such other and further sum as shall be found.”

Michael Jackson had a secret “son” who deserves a cut of his millions! That’s the bombshell claim of Anthony “James” Jackson II, who has filed bombshell new court documents insisting that the singer’s will is invalid and executors have iced him out.

Anthony’s dad, Tony Jackson, was Michael’s first cousin. “When I was seven years old my father Tony passed away,” Anthony writes in the court documents filed on August 14. “Soon after this, the Decedent Michael Jackson stepped in and offered to raise me as his son, as a co parent with my mother Debra Jackson.” Even after Michael’s own children — Prince, Paris, and Blanket — were born, Anthony says he “continued to raise me as his son.”

Michael “provided for me while he was alive and intended to in the future and/or if anything ever happened to him,” Anthony insists, claiming Jackson family matriarch Katherine “confirmed in December of 2010 that she knew the Decedent considered me a son and knew of his intentions in regard to providing for me.”

According to Anthony, those intentions were “that I receive a living expense allowance, that all of my education would be paid for, that I would be able to purchase a home … and a vehicle, that I would receive enough funds to start my own business.”

Anthony alleges that Michael “also said I was the only one he would allow to use the SONY/ATV music publishing catalogs for any of my projects, for free.”

“I should have been receiving Decedent’s Michael Jackson’s intended inheritance for me. I request that I immediately receive [it],” he writes in the court documents, “and for them to be retroactive” from the singer’s death date, June 25, 2009.

In the 128-page filing, Anthony lays out a complicated argument for why he has been denied what he says is rightfully his. Simply put, he claims that the will is invalid, and there is a major “conspiracy” in place.

“I question if this will is authentic, especially since the Decedent Michael Jackson told me and my mother Debra Jackson in 2003, the will he was forced to sign in 2002, in my presence, no longer existed,” he alleges. “…I believe the will and the trust documents were never notarized and they have never been authenticated.”

In addition, Anthony insists, “The executors violated my rights and proper legal procedure because I never received the notice of probate … I believe not noticing me was a tactic by the executors to gain control of the estate, because I believe they knew I would question the authenticity of the will and object to their being the executors…”

And now, that is just what he is doing, accusing the executors of “malfeasance and mismanagement of the estate.”

“I believe the executors knowingly violated the trust laws,” the court documents claim, further alleging that they “… exploited the estate assets for personal profit, trustee compensation.”

Anthony claims that they “have systematically put the estate in financial jeopardy by making deals, purchases, sales, and/or taking out loans,” and that their “excessive compensation created a conflict of interest, in that the executors needed to make deals in order to profit from the estate. I also believe the executors made unnecessary and/or bad deals for the estate.”

Ultimately, Anthony has 73 demands for the court including the following: that he be granted the “right to question” the will, that there be an “investigation to authenticate the 2002 will,” that “the court rescind any and all sales or purchases by the executors,” that “the court rescind repeal and/or quash the court’s approval to sell the estate’s 50% share of the SONY/ATV music publishing asset,” removal of the executors, a forensic audit, and that the sale of Neverland Ranch be stopped, and the loan against it be paid off from the estate.

It’s not the first time that Anthony has faced off against the Jackson family in court. In December 2013, he petitioned for guardianship of Paris, Prince, and Blanket, but was denied.

Майкл Джексон установил новый финансовый рекорд

Американский певец Майкл Джексон, скончавшийся в 2009 году, установил новый финансовый рекорд среди артистов — как как ушедших из жизни, так и живых, сообщает Forbes. С середины 2015 года по середину 2016-го он заработал 825 миллионов долларов.

Большую часть этой суммы — 750 миллионов долларов — составил доход от продажи прав на половину каталога песен The Beatles, принадлежавшую Джексону. Сделка состоялась в марте.

В опубликованном Forbes списке самых доходных умерших знаменитостей Джексон четвертый год подряд занял первое место. На второй позиции — художник Чарльз Шульц, автор комиксов Peanuts про приключения мальчика Чарли Брауна и его собаки Снупи. По этим комиксам, считающимся одними из самых популярных в мире, был также снят мультсериал. Шульц скончался в 2000 году. Его доход за последний год составил 48 миллионов долларов.

Третье место у гольфиста Арнольда Палмера (40 миллионов долларов). Он скончался в сентябре 2016 года.

В список также попали недавно умершие музыканты Принс (пятое место и доход в 25 миллионов долларов) и Дэвид Боуи (10,5 миллиона долларов и 11-е место).
